1. The service
Facet helps agencies prepare, share, track and accept proposals. Available features may vary by plan, configuration and enabled integrations.
Facet provides tools and a technical record; it does not replace advice from a lawyer, accountant or tax professional. Your agency remains responsible for its prices, taxes, contractual terms, timelines and duties to clients.
2. Account and authority
- Provide accurate information, protect access credentials and use an individual account.
- A person creating a workspace or accepting these terms for an organization confirms they have authority to do so.
- Your agency is responsible for invited members, granted permissions and activity in its workspace.
- Notify us promptly of unauthorized access or a risk to account security.
3. Subscription and payment
Prices, billing periods, included features and applicable taxes are shown on the Pricing page and at checkout. If they differ, checkout information controls for that transaction.
Billing is administered by our payment provider. You may manage or cancel a subscription from the portal available in the app. Access may be limited at the end of a paid period, after a trial expires or when an unresolved payment default continues.
4. User-generated content (UGC) and client data
You retain your rights in text, logos, contact details, attachments, comments, templates and other content uploaded to Facet. You grant Facet a limited, non-exclusive licence for the necessary period to host, copy, process, transmit and display that content solely to provide, secure and support the service.
You confirm that you have the right to upload the content and personal information, authorize its processing and share it with selected recipients. You must promptly remove or correct unlawful, misleading or infringing content, or content shared without authorization.
Facet does not acquire ownership of your data. We may preserve a version or evidence where needed to maintain the integrity of an acceptance, comply with law or resolve an incident.
5. Acceptable use
- Do not bypass access controls, test security without authorization or disrupt the service.
- Do not distribute malware, automate abusive request volumes or use Facet for phishing or unsolicited messages.
- Do not upload unlawful, hateful or infringing content, or content that violates another person’s privacy or rights.
- Do not present a Facet technical record as a universal legal guarantee or alter evidence or a certificate.
- Do not resell, copy or attempt to extract the code except where expressly permitted by law.
6. Proposals, acceptances and signatures
Your agency chooses an access and acceptance method suitable for each file’s risk. Facet retains technical elements to document the process but does not systematically verify a signer’s identity, capacity or authority.
A digital fingerprint helps show that a document has not changed; by itself, it does not prove a person’s identity or a contract’s validity. For sensitive engagements, use suitable authentication and signature methods and obtain legal advice.
7. Confidentiality and providers
We treat your content as confidential and limit access to people and providers needed to operate the service. Third-party integrations, including Polar, Resend, DocuSign and Google Analytics, are also governed by their own terms and policies.

8. Intellectual property
Facet, its brand, interface, code, documentation and graphic elements belong to their owner or are used under licence. No rights are transferred to you except the limited right to use the service while your access is authorized.
If you voluntarily send feedback, we may use it to improve Facet without an obligation to compensate you, but we will not publish your confidential content as part of that use.
9. Availability, suspension and termination
We aim to provide a reliable service, but interruptions may occur for maintenance, security, a provider outage or events outside our control. We may suspend access where reasonably needed to protect the service, enforce these terms or meet a legal obligation.
When your subscription ends, some features may become inaccessible. Contact us before closure if you need to retrieve data. Some evidence and data may have to be retained under the Privacy policy and applicable law.
10. Warranties and liability
To the extent permitted by law, the service is provided as available, without a guarantee that it will meet every particular agency need or remain uninterrupted. Nothing in these terms limits a warranty or remedy that cannot legally be excluded.
Each party remains responsible for direct harm caused by its fault. Facet is not responsible for your agency’s business decisions, content, taxes, commitments or selected recipients, or for third-party services outside its control. Any limitation is interpreted subject to mandatory applicable law.
11. Governing law and changes
These terms are governed by the laws of Quebec and the applicable federal laws of Canada. Courts in the judicial district of Montreal have jurisdiction, subject to mandatory rules.
We may change these terms to reflect developments in the service, law or our practices. We will publish the new version and provide appropriate notice when a material change affects users’ rights or duties.
